1. Acceptance of Terms

By accessing or using Flow ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users of the Platform, including artists, event organizers, and any other visitors.

Flow is a platform that connects artists with paying job opportunities worldwide. We operate both as a job marketplace and provide professional agency services for select productions, including Fever ballet shows.

2. Description of Services

Flow provides the following services:

• Job Marketplace: A platform where artists can create profiles, showcase their talent through videos, and connect with event organizers seeking artists for various opportunities.
• Agency Services: Professional representation and administrative services for select productions, including contract management, logistics coordination, and professional representation for Fever ballet shows across Europe.
• Direct Booking: Facilitation of direct connections between artists and event organizers without traditional agency fees for marketplace jobs.

3. User Accounts and Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Platform. By creating an account, you represent and warrant that you meet this age requirement.

4. For Artists

4.1 Profile and Content

As an artist using the Platform, you may create a profile, upload videos of your performances, and provide information about your skills, location, and availability. You retain ownership of all content you upload, but grant Flow a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform for the purpose of connecting you with job opportunities.

You are responsible for ensuring that all content you upload:

• Is accurate and truthful
• Does not infringe on any third-party rights (including copyright, trademark, or privacy rights)
• Does not contain false, misleading, or defamatory information
• Complies with all applicable laws and regulations

4.2 Job Applications and Bookings

When you apply for or accept a job opportunity through the Platform:

• You are entering into a direct agreement with the event organizer, not with Flow
• You are responsible for negotiating terms, including compensation, with the event organizer
• You are responsible for fulfilling your obligations under any agreement you enter into
• Flow is not a party to any agreement between you and an event organizer for marketplace jobs

4.3 Agency Services (Fever Shows)

For select productions, including Fever ballet shows, Flow may provide agency services. When you participate in such productions:

• You will enter into a contract with the production company (e.g., Fever), with Flow providing administrative and representation services
• Payment terms, schedules, and other details will be specified in your individual contract
• You are responsible for your own tax declarations and social security contributions
• The relationship is that of an independent contractor, not an employee

5. For Event Organizers

As an event organizer using the Platform, you may:

• Post job opportunities for artists
• Browse artist profiles and video portfolios
• Contact artists directly through the Platform
• Negotiate terms and book artists for your events

You agree to:

• Provide accurate information about your events and job opportunities
• Honor all agreements you make with artists
• Pay artists according to the terms agreed upon
• Comply with all applicable employment, tax, and labor laws
• Not use the Platform to post fraudulent, illegal, or inappropriate job opportunities

Flow is not responsible for the actions of event organizers or the fulfillment of agreements between organizers and artists.

6. Payment Terms

6.1 Marketplace Jobs

For jobs booked through the marketplace:

• Payment terms are negotiated directly between artists and event organizers
• Flow does not process payments for marketplace jobs
• Flow does not charge agency fees for marketplace connections
• You are responsible for handling all payment transactions and related tax obligations

6.2 Agency Services

For productions where Flow provides agency services:

• Payment will be made directly by the production company (e.g., Fever) to the artist
• Payment schedules and terms will be specified in individual contracts
• Flow provides administrative services only and does not act as a payment processor

7. Intellectual Property

The Platform, including its design, features, and functionality, is owned by Flow and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Platform
• Reverse engineer or attempt to extract the source code
• Use the Platform for any unauthorized commercial purpose
• Remove or alter any copyright, trademark, or other proprietary notices

You retain ownership of content you upload, but grant Flow the license described in Section 4.1.

8. Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Post false, misleading, or fraudulent information
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, or harm other users
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Use automated systems to access the Platform without permission
• Collect or harvest information about other users without consent
• Post content that is defamatory, obscene, or violates others' rights

9. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Flow does not guarantee:

• That the Platform will be uninterrupted, secure, or error-free
• The accuracy, completeness, or reliability of any user content
• The quality, safety, or legality of job opportunities posted on the Platform
• The ability of users to fulfill their obligations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALLEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Flow is not responsible for disputes between artists and event organizers. You are responsible for your own interactions with other users and for any agreements you enter into.

10. Indemnification

You agree to indemnify, defend, and hold harmless Flow, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Content you upload or post on the Platform

11. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause or notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Platform will immediately cease
• We may delete your account and content
• Any outstanding obligations will survive termination

You may terminate your account at any time by contacting us or using account deletion features if available.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Flow operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration or in the courts of the appropriate jurisdiction, as applicable.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Flow regarding your use of the Platform and supersede all prior agreements and understandings.
